Real Estate Auction Terms of Sale:


This auction is conducted by Shen Valley Auction Group LLC (Auctioneer) on behalf of the owners of the property referred to as the (Seller). Auctioneer is not responsible for the acts of the Seller or statements made by the Seller before, during, or after the auction. The auction shall be governed by the terms set forth herein and any announcements made at the auction. The act of submitting a bid shall constitute Bidder’s acceptance of each and every term and condition contained in these terms and conditions and shall form a binding contract of intent to purchase between the Bidder and the Auctioneer. All persons attending the auction and inspecting the property assume all risks whatsoever of damage or loss to person and property and specifically release the Auctioneer from all liability. Auctioneer is not liable by reason of any defect in, or condition of, the property or the premises on which the preview/sale is held. Auctioneer is released for any claims or actual damage to the property sold and/or consequential damages that may result from the sale of defective property.

PAYMENT TERMS:
A signed contract and a nonrefundable deposit of $4500 is required from the high bidder(s) immediately after confirmation of final bid and the balance due at closing on or before 45 days (unless prior arrangements have been made with the auctioneer). Deposit must be in the form of a wire transfer or check drawn on a US bank. The signed contract and nonrefundable deposit is due within 24 hours of the auction ending unless other arrangements have been made with Auctioneer prior to the close of the auction. Title, at the time of settlement, shall be delivered free of all liens or encumbrances as more specifically set forth in the Sale Contract. All settlement and closing costs will be the responsibility of the buyer and the property taxes will be prorated as of the day of settlement.


BUYER’S PREMIUM:
A 8% buyer’s premium will be added to the final bid to become part of the purchase price at settlement. Buyer agrees to these provisions and will pay the applicable buyer’s premium.

Seller reserves the right to accept an offer prior to the end of the auction. All offers must be made utilizing Shen Valley Auction Group LLC Real Estate Purchase Contract.

BIDDER REGISTRATION:
By registering and bidding, Bidder acknowledges that they have read and agree to the terms and conditions of this auction. Bidder agrees to sign the contract of sale and other documents related to the transaction, pay the earnest money deposit within 24 hours of the close of the auction and close the transaction within 45 days if their winning bid is accepted. Time is of the essence. Bidder must be 18 years of age or older and is required to register for the auction. In registration, Bidder must submit information found to be current, complete and accurate for proper identification by Auctioneer. Bidder’s registration is not transferable or assignable. Auctioneer reserves the right to deny or restrict any bidders registration with or without cause. Bidder must register to participate in the auction. BIDDING:
Using YOUR knowledge and experience, form your own opinion of the property and bid accordingly. If you are in doubt, DO NOT BID. The property is sold AS-IS; this is an AUCTION and all SALES ARE FINAL. Bids cannot be retracted and are binding contracts between Bidder and Auctioneer/Seller. Bidder is accountable to be informed about property and associated costs before bidding. A maximum bid can be placed on the property in the online bidding interface. A maximum bid is kept confidential. Except for properties noted “Absolute Auction,” all properties in auctions will be sold subject to seller confirmation or will have a pre-established minimum Reserve Price. The starting bid is not the Reserve Price. Except where prohibited by law, Auctioneer may counter bid on behalf of Seller on any property up to the amount of the Reserve Price (and no such bid will result in a sale of the property). If the Reserve Price is not met, Seller is under no obligation to sell the property; however, Seller may accept a bid that is below the Reserve Price in its sole discretion.

BIDDER VERIFICATION & QUALIFICATION:
The identity of all bidders will be verified prior to participation. The Auctioneer may require a proof of funds letter be submitted prior to bidder participation. A credit card is required to register for online bidding. No charges will be made to your card unless you are determined to be the winning bidder and you fail to execute the Contract of Sale and pay the required earnest money deposit. At the discretion of the Auctioneer, a penalty of $1,000.00 will be charged to the credit card provided at registration if you fail to return the signed Contract of Sale and pay the required earnest money deposit within the required time period. Payment of the penalty shall not affect other remedies available to the Seller for such failure.

BROKER COMPENSATION:
Preapproved (No later than 5:00 PM the day before the auction ends) brokers participation will be compensated. Broker Compensation, 1.5% of the Hammer Price will be paid to a qualified licensed real estate agent whose registered buyer(s) offer is accepted by the seller and closes on the property. "Hammer Price" for an offer accepted by the Seller prior to the auction closing will be, Total Offered Price minus 8%. To qualify for a commission, the agent must first register his/herself and client with the Auctioneer at least 24 hours prior to the close of auction. Brokers only receive commission when they represent a client, not if they themselves are the client. Commissions will be paid only after closing and after the Auctioneer has been paid in full. Agents are not required to attend the closing but must attend the auction with their client and/or visit the property with their client during the marketing period. Agents must have client's permission to register him/her for the auction. Agents may not register people who are not actually their clients. If an agent has not met all of these requirements, no commission will be paid to the cooperating agent, even if the agent's client purchases the property. Under no circumstances whatsoever, will any commission be paid if the sale does not close for any reason.

Auctioneers Announcement: The auctioneer reserves the right to accept bids on behalf of an absentee bidder, the seller, or himself. The auctioneer reserves the right to accept or reject any bid and in all cases of dispute the auctioneer’s decision shall be final and binding. The Auction is Conducted in the Commonwealth of Virginia: All lots are exposed for sale in the Commonwealth of Virginia, and will be sold in the Commonwealth of Virginia. Notwithstanding YOUR physical location, these Bidder Terms and Conditions are entered into in the Commonwealth of Virginia, all bids and payments are received in the Commonwealth of Virginia, and all contracts between Seller and Buyer are formed and entered into in the Commonwealth of Virginia, and all Lots will be delivered in the Commonwealth of Virginia.

 

Governing Law; Jurisdiction; Venue; Waiver of Jury Trial: These Bidder Terms & Conditions will be governed by and construed in accordance with the laws of the Commonwealth of Virginia without regard to rules governing conflict of laws. All claims, disputes, and other matters between the parties will be brought in the Commonwealth or federal courts sitting in and for Rockingham County, Virginia, which courts have exclusive jurisdiction, and will be the exclusive venue, for any and all such claims, disputes, and other matters. YOU irrevocably and unconditionally (i) agree that any claim, suit or cause of action relating to the Auction, these Bidder Terms & Conditions, or the transactions contemplated hereby, will be brought in the Commonwealth or federal courts sitting in and for Rockingham County, Virginia; (ii) consent to the jurisdiction of such courts for any such claim, suit or cause of action; (iii) waive any objection that such party may have to the laying of venue of any such claim, suit, or cause of action in such courts; and (iv) waive any objection to the bringing of such claim, suit, or cause of action in such courts on the grounds inconvenience. You Waive The Right To A Jury Trial.

 

Uniform Commercial Code; CISG. Without limiting the generality of the Governing Law provision of these Bidder Terms & Conditions, the sale of personal property will be governed by Article 2 of the Uniform Commercial Code as adopted in the Commonwealth of Virginia (Va. Code Ann. 8.2-101 et seq.), subject to the specific provisions of the Bidder Terms & Conditions which will control. The United Nations Convention on Contracts for the International Sale of Goods ("CISG") will not apply to, or in any way govern, these Bidder Terms & Conditions or the sale of any Lots, and YOU expressly waive application of the CISG.

 

Invoice & Communications from AUCTIONEER: YOU will be invoiced for YOUR purchases at the conclusion of the Auction. If YOU are present at the Auction Site at the conclusion of the Auction, an invoice will be delivered to YOU at that time, and may also be sent to YOU by email. If YOU are remote Bidder, an invoice will be sent to YOU by email after the conclusion of the Auction. YOU ACKNOWLEDGE AND AGREE THAT EMAIL COMMUNICATIONS, INCLUDING, WITHOUT BEING LIMITED TO, INVOICES, PAYMENT INSTRUCTIONS, PAYMENT REMINDERS, PICKUP SCHEDULING OR SHIPPING SCHEDULING, MAY BE SENT OR TRANSMITTED TO YOU BY AUCTIONEER, OR THOSE ACTING ON AUCTIONEERS BEHALF, AT ANY TIME DURING THE DAY OR NIGHT, AND YOU EXPRESSLY CONSENT TO THE TRANSMISSION, AND YOUR RECEIPT OF COMMUNICATIONS FROM OR ON BEHALF AUCTIONEER BY EMAIL OR OTHERWISE (INCLUDING WITHOUT BEING LIMITED TO, INVOICES, PAYMENT INSTRUCTIONS, PAYMENT REMINDERS, AND PICKUP SCHEDULING OR SHIPPING SCHEDULING) AT ANY TIME DURING THE DAY OR NIGHT WITHOUT LIMITATIONS TO THE DAY OF THE WEEK OR THE TIME OF DAY OR NIGHT THAT SUCH EMAIL IS TRANSMITTED OR RECEIVED, AND WITHOUT REGARD TO WHETHER SUCH TRANSMISSION OCCURS ON A LEGAL HOLIDAY.

 

Posted Times: Unless stated otherwise, all posted or listed times (including opening & closing times) are intended to reference the local time zone at the Auction Site. Posted closing times and time displays are approximate. Auctioneer reserves the right, in Auctioneer's sole and absolute discretion, to close early, extend, reset, or reopen the Auction (including bidding on any Lot(s).

 

Auction Governed by Code of Virginia; 8.2-328. Sale by Auction.  Section (3) applies to this auction, whereas such a sale is with reserve unless the goods are in explicit terms put up without reserve.

 

Automatic Extension Feature and Rolling Close of the Bidding; Online Bidding Periods include an automatic extension feature. This means that if a bid is entered within a set time period approaching the end of the established Online Bidding Period on a Lot, the Online Bidding Period for the Lot will be automatically extended for an additional period of time in increments established by Auctioneer, and such extensions will continue until there is a set period of time that lapses during which no advancing online bid is received, after which bidding on the Lot will close.

 

Online Bidding; Maximum Bids: Online Bids may be submitted as a single advancing bid on a Lot, or as a maximum bid on a Lot, and bidding will advance competitively to the next available increment. Just like an Absentee Bid. Auctioneer may view YOUR bids as they are entered and advanced, including YOUR maximum bid. If YOU submit a single advancing bid on a Lot and YOUR bid is equal to or less than the maximum bid previously submitted by another Bidder on the same Lot, YOU will be outbid. If YOU submit a maximum bid on a Lot and a maximum bid has previously been submitted by another Bidder on the same Lot, bidding will advance to the next highest bid increment after which either YOUR maximum bid or the previously submitted maximum bid has been exhausted, whichever occurs first, and the then-current bid will be shown at that amount. If YOUR bid is shown as the current high bid on a Lot and another Bidder submits a bid (either a single bid or as a maximum bid), bidding will advance to the next highest bid increment after which either YOUR maximum bid or the maximum bid of the competing Bidder has been exhausted, whichever occurs first, and the then-current bid will be shown at that amount. It is YOUR responsibility to refresh YOUR browser to keep current with bidding. Limitations in technology, connectivity issues, and refresh rates may cause delays that result in an attempted bid on a Lot not being posted before the Lot closes.

 

Technology Disruptions: YOU acknowledge and agree that the Auction is conducted electronically and relies on hardware and software that may malfunction without warning. AUCTIONEER will not be responsible for, and will suffer no liability for, technology disruptions, errors or failures (including disruptions to bidding or failure to execute, recognize, or record online bids), whether caused by (i) loss of connectivity, breakdown, disruption, or failure of the Online Bidding Platform(s), (ii) breakdown, disruption, or failure of a Bidder's internet connection, computer, or system, or (iii) otherwise. AUCTIONEER may, but will not be required to, continue, suspend, delay, extend, reschedule, reset, or close the Auction because of disruptions caused by technology failures even after bidding has commenced. If the Auction is reset, bidding on all Lot(s) may be reset. 

 

Failures by Online Platform Provider and its Affiliates or Contractors: Under no circumstances will Auctioneer be liable for any failure of the Online Platform Provider(s) to perform, or for the failure of any affiliates, employees, agents, representatives, or contractors of the Online Platform Provider(s) to perform regardless of whether such obligations are owing, directly or indirectly, to AUCTIONEER, to YOU, to SELLER, or otherwise.

Responsibility for Bids: YOU are responsible for all bids made using YOUR Bidder Number or YOUR Bidder Account, and if YOU tender a bid that is determined by AUCTIONEER to be the Winning Bid, or if Winning Bid is submitted from YOUR computer or YOUR device, or from YOUR Bidder Account, YOU will be the Buyer. YOUR failure to inspect or otherwise become fully informed about a Lot will not be grounds for refusal to pay, and will not support a claim against AUCTIONEER or the SELLER. If YOUR Bidder Number is lost, stolen, or misappropriated, or YOUR Bidder Account has been hacked or compromised YOU should notify AUCTIONEER immediately. YOU will be liable for all bids tendered using YOUR Bidder Number or Bidder Account prior to giving AUCTIONEER notice that YOUR Bidder Number was lost, stolen, or misappropriated or that YOUR Bidder Account was hacked or compromised.

No Bid Retraction; Irrevocable Offer: Without Auctioneer's consent (which consent may be granted or withheld in Auctioneer's sole and absolute discretion), YOU may not retract or revoke a bid that has been acknowledged by Auctioneer or that YOU have submitted Online. YOU acknowledge and agree that Auctioneer is acting in reliance on tendered bids in the conduct of the Auction, and that bid retraction; (i) is disruptive and interferes with the Auction, (ii)may cause other Bidders to question the integrity of the Auction (Among other things, affecting the Auctioneer's reputation); (iii) may reduce bidder confidence in the Auction process; and (iv) may have a negative effect on the Hammer Price, thereby harming the Seller. As an inducement for Auctioneer to accept YOUR Bidder Registration and grant YOU the privilege of bidding at the Auction, and consideration of the ability to bid at the Auction, YOU promise and agree that, without Auctioneer's prior consent, YOU will not withdraw or attempt to withdraw any bid tendered by YOU or on YOUR behalf. YOU, further, acknowledge and agree that YOUR bid constitutes an irrevocable offer that will not be terminated, and YOU will complete payment including all associated fees and taxes, without refund or dispute.
